VALUATION FAQ
PROVIDING CLARITY FOR YOUR BUSINESS
THROUGH VALUATION INSIGHTS
There are many reasons why you may need a professional, accurate valuation of your business. But no matter the reason, a good valuation should give you more than just numbers. It should tell the unique story of your organization, illuminating how you have gotten to where you are—and where you will go next.
WHAT IS BUSINESS VALUATION AND WHY ARE BUSINESS VALUATION SERVICES NEEDED?
Business Valuation services involve a neutral third-party (valuation analyst) who assesses your business to determine its value. There are many reasons a business owner may need a valuation, but the majority of cases it falls into three categories: compliance such as financial reporting or tax compliance, amicable transactions including a merger or sale of their business, an ownership transition, buy-sell trigger, etc., and finally conflict resolution (marital and business divorce, shareholder dispute). With the information we provide, management will gain a clear understanding of the true dollar value associated with their business along with the confidence required to make critical business decisions. In addition, we work together with business owners to develop strategies that will amplify their valuation.
Business valuation is a formal process. For certified valuations, there are two general levels of service that we provide: An Opinion Of Value delivers the most thorough determination of your Company’s value and is typically used for accounting and tax compliance, or legal purposes; A Calculation Of Value also provides you with a determination of your Company’s value, but does not include the level of narrative report detail required for accounting, tax and legal purposes. As a CV can be completed faster and is less costly, it is generally preferable for valuations triggered by strategic planning, evaluating merger and acquisition offers, amicable partner buy-ins or buy-outs, and mediation assistance for disputes among others.
However, if a certified appraisal and formal valuation process is outside of your needs, do not fret as you have options for an informal analysis that can be budget friendly.
WHEN DO I NEED A BUSINESS VALUATION: COMPLIANCE, GROWTH, SALE, OR DISPUTE RESOLUTION
In our experience, the majority of closely-held business owners who have not obtained a business valuation fall into one of two categories.
The first group includes those who have never been approached to sell their business, have never needed to attract outside capital, or have never experienced a business-related conflict (i.e. partner dispute or marital divorce) requiring legal resolution. Accordingly, this group of business owners are largely unaware of the need and utility of a business valuation.
The second group includes business owners who have an acceptable sale price for their business in mind and thusly assume they do not need their business valued. Unfortunately, these owners are often disappointed when trying to broker a sale of their business as their price is potentially unrealistic.
In either case, obtaining a professional business valuation helps a business owner determine the true value of their business.
ALTHOUGH THERE ARE MANY TRIGGERS FOR PERFORMING A BUSINESS VALUATION, SOME OF THE MORE TYPICAL ONES INCLUDE:

Determining if an offer to purchase your business is reasonable.

Assisting start-ups with attracting outside investors by having an independent, third-party assessment of actual value.

Helping owners understand the true value of their business along with what drives that value and protect their business accordingly by purchasing appropriate insurance coverages (i.e. key person risk).

Satisfying an accounting, tax or legal requirement.

Aiding business owners with dispute resolution and provide support litigation support such as in a divorce, shareholder conflict, or insurance claim.
HOW LONG DOES A BUSINESS VALUATION TAKE?
An average business valuation engagement is a three- to five-week process. However, there are situations where this timeline may not be sufficient. It is possible to complete a valuation quicker, if there is a deadline that requires it (such as an M&A transaction, court proceeding, or tax or audit deadline).
Completing a valuation requires a time investment from the client as well as the valuation firm, and the time needed may be affected if the client takes more time than expected to provide company background or documents.
When we begin a valuation, we provide the client with a list of the materials needed, and we work with the client to determine when those will be made available.
Pricing is affected if the timeline is more compressed; conversely, if there is timing flexibility, there may be potential fee reductions.
